Terms & Conditions.

These Terms govern your registration for and participation in DC Unifieds events. Please read carefully — by registering, you and the participant (if a minor, the parent or guardian) agree to be bound by everything below.

These Terms & Conditions are a legally binding contract between you and DC Unifieds. They include important provisions regarding non-refundability, assumption of risk, release of liability, mandatory binding arbitration, and waiver of class action rights. By registering, paying, or participating in any DC Unifieds event, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

Acceptance & Binding Agreement

By registering for, paying for, or participating in any event, program, workshop, audition, coaching session, or service offered by DC Unifieds (collectively, the "Services"), you (the "Participant", or if the Participant is under age eighteen, the parent or legal guardian executing this agreement on the Participant's behalf, jointly the "You" or "Customer") acknowledge and agree that you have read, understood, and accept these Terms & Conditions, the Privacy Policy, and any additional event-specific policies incorporated by reference.

If you do not agree to these Terms in their entirety, you must not register for, pay for, or participate in any DC Unifieds Services.

These Terms constitute a binding contract between You and DC Unifieds, operated by Tony Cimino-Johnson, his affiliated entities, agents, employees, contractors, and assigns (collectively, "DC Unifieds", "we", "our", or "us").

Definitions

For the purposes of these Terms:

  • "Event" means any in-person, virtual, hybrid, or recorded experience offered by DC Unifieds, including but not limited to the annual college audition event, Rising Star events, virtual auditions, workshops, masterclasses, coaching sessions, and any related programming.
  • "Registration Fee" means any amount paid by Customer to access an Event or Service, inclusive of taxes, processing fees, and add-ons.
  • "Materials" means any content submitted by or about Participant, including but not limited to headshots, resumes, monologues, songs, video pre-screens, audition recordings, written statements, and supporting documentation.
  • "Affiliates" means DC Unifieds' officers, directors, employees, agents, instructors, faculty, contractors, volunteers, sponsors, host venues, and participating institutions.

Eligibility & Minors

Services are intended for individuals seeking college audition preparation, performance training, and related opportunities. By registering, You represent and warrant that all information you provide is accurate, current, and complete.

Participants Under 18 Required

If the Participant is under eighteen (18) years of age, registration must be completed by a parent or legal guardian. The signing parent or guardian:

  • Represents and warrants that they have full legal authority to enter into this agreement on behalf of the minor Participant;
  • Accepts personal joint and several liability for all obligations under these Terms;
  • Authorizes the minor Participant's participation in all Event activities, including auditions, workshops, dance calls, social events, and emergency medical treatment as set forth in Section 12; and
  • Consents to the photo, video, and likeness release set forth in Section 15.

A minor Participant will not be permitted to participate without a signed parental consent on file.

Registration & Account Accuracy

Registration is complete only when full payment has been received and cleared, and all required forms have been submitted. DC Unifieds reserves the right to deny, cancel, or revoke any registration at its sole discretion, including but not limited to instances of incomplete information, fraudulent payment, or breach of these Terms.

You are responsible for maintaining the accuracy of all registration information, including contact details, medical information, emergency contacts, and Materials. Inaccurate information may result in denial of participation without refund.

Payment Terms

All Registration Fees are quoted and payable in United States Dollars (USD).

Accepted Forms of Payment Required

  • Major credit cards (Visa, Mastercard, American Express, Discover);
  • Debit cards bearing the logo of a major card network;
  • Approved third-party digital payment processors made available at checkout.

Personal checks, cashier's checks, money orders, and cash are NOT accepted. Any attempt to submit payment via these methods will be rejected and registration will not be processed.

Payment Plans

Where installment plans are offered, all installments must be paid in full prior to the Event start date. Failure to make any scheduled installment payment may result in cancellation of registration without refund of prior payments and may result in collection action including reasonable attorneys' fees.

Processing Fees & Taxes

Customer is responsible for any payment processing fees, applicable sales taxes, and currency conversion fees imposed by the payment processor or Customer's bank.

No Refund Policy

ALL SALES ARE FINAL. No refunds, credits, or transfers will be issued for any customer-initiated cancellation, change of mind, non-attendance, partial attendance, late arrival, scheduling conflict, illness, injury, transportation issue, weather affecting personal travel, denied entry resulting from violation of these Terms, or any other reason.

This no-refund policy applies regardless of the reason for non-attendance, including but not limited to:

  • Illness, injury, or medical condition of Participant or family member;
  • Personal or family emergency;
  • Travel disruption, flight cancellation, or weather affecting personal travel;
  • School obligations, exams, or conflicting events;
  • Change of audition plans, college list, or career direction;
  • Denial of entry or removal under Section 14;
  • Dissatisfaction with the Event, instructors, faculty, venue, or experience;
  • Any reason not specifically covered by event insurance purchased under Section 7.

By registering, Customer expressly waives any claim to a refund and acknowledges that DC Unifieds commits resources, contracts venues, secures faculty, and incurs non-recoverable costs in reliance on each registration.

Credits at DC Unifieds' Sole Discretion

DC Unifieds may, in its sole and exclusive discretion and without obligation, offer a partial credit toward a future Event. Any such credit is a courtesy, not a right, is non-transferable, must be used within twelve (12) months of issuance, and does not constitute a waiver of this no-refund policy.

Event Insurance

To provide protection against the no-refund policy described in Section 6, event registration insurance is offered at the time of checkout. Customers are strongly encouraged to purchase this coverage.

Event insurance is provided through a third-party insurance carrier, is governed by the terms, conditions, and exclusions of the policy issued by that carrier, and is not a product of DC Unifieds. Coverage details, eligible reasons for claim, claim procedures, and refund amounts are determined exclusively by the third-party insurer.

  • Event insurance must be purchased at the time of registration. It cannot be added retroactively.
  • All claims must be submitted directly to the insurance carrier in accordance with their procedures.
  • DC Unifieds is not the insurer, is not responsible for claim approval or denial, and does not guarantee any particular outcome.
  • Premiums paid for event insurance are themselves non-refundable.

If you have any concern about your ability to attend due to illness, scheduling, travel, or any other risk, please purchase event insurance at checkout. This is the only available path to a refund.

Chargebacks & Disputes

Customer agrees to contact DC Unifieds before initiating any credit card chargeback or payment dispute. Any chargeback initiated without first attempting good-faith resolution with DC Unifieds is a material breach of these Terms.

Chargeback Fees Per Incident

If Customer initiates a chargeback or payment dispute that is not successful (i.e., resolved in DC Unifieds' favor), or initiates a chargeback in violation of these Terms, Customer agrees to pay:

  • An administrative chargeback fee of fifty dollars ($50.00 USD) per chargeback incident;
  • All fees charged by the payment processor, acquiring bank, or card network in connection with the chargeback;
  • Any reasonable attorneys' fees, collection costs, and court costs incurred by DC Unifieds in defending or recovering against the chargeback.

These amounts are in addition to the original Registration Fee, which remains fully payable. DC Unifieds reserves the right to refer unpaid chargeback amounts to a collection agency and to report unpaid balances to consumer credit reporting agencies.

Effect on Registration

Initiation of a chargeback automatically and immediately terminates Customer's registration. Participant will not be admitted to the Event regardless of chargeback outcome.

Cancellation & Modification by DC Unifieds

DC Unifieds reserves the right, in its sole discretion, to cancel, postpone, reschedule, relocate, modify the format of (including changing between in-person and virtual), or substantially alter any Event for any reason, including but not limited to insufficient enrollment, venue unavailability, faculty unavailability, public health concerns, government order, or force majeure events under Section 20.

If DC Unifieds Cancels Entirely

In the rare event that DC Unifieds cancels an Event in its entirety with no rescheduled replacement, DC Unifieds will, in its sole discretion, either:

  • Issue a credit toward a future DC Unifieds Event of equivalent value, valid for twenty-four (24) months; or
  • Issue a refund of the Registration Fee, less any non-recoverable third-party costs already paid (including but not limited to credit card processing fees, venue deposits, and software platform fees).

If DC Unifieds Reschedules, Modifies, or Changes Format

Rescheduling, postponement, format change, venue relocation, or modification of the Event does not entitle Customer to a refund. Customer's registration will be honored for the modified or rescheduled Event.

Assumption of Risk

Customer acknowledges that participation in DC Unifieds Events involves inherent risks, including but not limited to:

  • Physical risks associated with dance, movement, choreography, performance, and travel — including risk of injury, strain, falls, and exhaustion;
  • Vocal risks including voice strain, fatigue, or temporary vocal injury;
  • Health risks including exposure to communicable diseases in group settings;
  • Travel risks including transportation accidents, lost luggage, and weather disruption;
  • Emotional risks including stress, disappointment, audition anxiety, and outcomes that may not meet Participant's expectations;
  • Property risks including loss, theft, or damage to personal belongings.
Customer voluntarily and expressly assumes all such risks, whether known or unknown, anticipated or unanticipated, and accepts full responsibility for any injury, damage, loss, or harm that may arise from or in connection with Participant's involvement.

Release & Waiver of Liability

To the fullest extent permitted by law, Customer hereby releases, waives, discharges, and covenants not to sue DC Unifieds, Tony Cimino-Johnson individually, and all Affiliates from any and all liability, claims, demands, actions, causes of action, costs, expenses, attorneys' fees, and damages of any kind whatsoever, whether known or unknown, arising out of or related to participation in any DC Unifieds Event or Service, including any claims based on the negligence of DC Unifieds or its Affiliates.

This release applies to claims for personal injury (including death), property damage, illness, emotional distress, loss of opportunity, dissatisfaction with outcomes, defamation, and any other claim of any nature.

This release is intended to be as broad and inclusive as is permitted by the laws of the Commonwealth of Virginia, and if any portion is held invalid, the remainder shall continue in full legal force and effect.

Medical Authorization & Emergency Care

Customer represents that Participant is in good physical and mental health and is medically fit to participate. Customer is solely responsible for disclosing any allergies, medical conditions, medications, or accommodations needed during registration.

In the event of injury, illness, or medical emergency, Customer authorizes DC Unifieds and its Affiliates to:

  • Provide or arrange for basic first aid;
  • Contact emergency medical services (911 or equivalent) on Participant's behalf;
  • Authorize emergency medical treatment, including ambulance transport and hospital care, when a parent or guardian cannot be immediately reached;
  • Contact the listed emergency contact and share relevant medical information.

Customer is solely responsible for all medical costs incurred, including ambulance, emergency room, urgent care, and follow-up care. DC Unifieds carries no medical insurance for Participants. Travel and health insurance are the Customer's responsibility.

Code of Conduct

DC Unifieds is committed to providing a safe, respectful, and professional environment for all Participants, parents, faculty, college representatives, staff, and Affiliates. By participating, Customer and Participant agree to:

  • Treat all attendees and Affiliates with respect, courtesy, and professionalism;
  • Refrain from any form of harassment, discrimination, bullying, intimidation, or unwelcome physical contact;
  • Refrain from possession or use of alcohol, illegal drugs, weapons, or controlled substances on premises;
  • Comply with all venue rules, instructions from DC Unifieds staff, and applicable laws;
  • Refrain from unauthorized recording, photography, or distribution of any Event content, including audition rooms;
  • Refrain from making defamatory, false, or disparaging statements about DC Unifieds, Affiliates, or other Participants in any public forum, including social media;
  • Be punctual, prepared, and present for scheduled commitments.

Removal & Termination

DC Unifieds reserves the right, in its sole and absolute discretion, to deny entry, remove from the Event, or permanently ban any Participant or accompanying party who:

  • Violates the Code of Conduct;
  • Breaches these Terms in any material respect;
  • Poses a risk to the safety, well-being, or experience of others;
  • Disrupts the Event or its operations;
  • Engages in any conduct that DC Unifieds determines, in its discretion, to be inappropriate.

Removal under this Section results in immediate forfeiture of all Registration Fees and any future credits. No refund or credit will be issued.

Customer is solely responsible for any costs (including transportation home) arising from removal.

Photo, Video & Likeness Release

By registering, Customer irrevocably grants DC Unifieds and its Affiliates a perpetual, worldwide, royalty-free, fully-paid, transferable, sublicensable license to photograph, film, audio-record, and otherwise capture Participant's image, voice, performance, and likeness during any Event or Service, and to use such recordings and the resulting Materials for any lawful purpose, including:

  • Marketing, advertising, and promotion of DC Unifieds, including website, social media, brochures, and press materials;
  • Educational and training purposes;
  • Sponsorship and partnership materials;
  • Distribution to participating colleges and institutions in connection with audition evaluation;
  • Documentary, journalistic, or archival use.

Customer waives any right to inspect or approve the finished product, any right of compensation, any right of attribution, and any claim of defamation, invasion of privacy, or violation of right of publicity arising from such use.

If the Participant is a minor, the signing parent or guardian executes this release on the Participant's behalf and warrants legal authority to do so.

Intellectual Property

DC Unifieds Content

All content provided by DC Unifieds — including but not limited to curricula, workshop materials, video recordings, written guides, branding, logos, websites, and trademarks — is the exclusive property of DC Unifieds or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

Customer is granted a limited, non-exclusive, non-transferable, revocable license to access and use such content solely for personal, non-commercial use in connection with the Event. Any reproduction, distribution, public display, derivative work, or commercial exploitation is strictly prohibited without prior written consent.

Participant Materials

Participant retains ownership of original Materials submitted (e.g., monologues, songs, headshots not produced by DC Unifieds). Customer grants DC Unifieds a non-exclusive, worldwide, royalty-free license to use such Materials in connection with administering the Event, distributing to participating colleges, and as set forth in Section 15.

Customer represents and warrants that they have all necessary rights to submit and license such Materials, including any required permissions from copyright holders for performance material.

No Warranties / No Outcomes Guaranteed

DC Unifieds services are provided "as is" and "as available" without warranty of any kind, whether express, implied, statutory, or otherwise. DC Unifieds expressly disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and quiet enjoyment.

Without limiting the foregoing, DC Unifieds makes no representation or warranty that:

  • Participant will receive any particular audition slot, callback, scholarship, admission offer, financial aid award, or other outcome;
  • Any particular college, faculty member, or representative will attend the Event or evaluate Participant;
  • Participant's audition will result in any opportunity, contract, role, or career advancement;
  • The Event will achieve any specific result, satisfaction level, or experience.

Customer acknowledges that audition outcomes depend on many factors outside DC Unifieds' control and that no part of the Registration Fee is paid in consideration of any guaranteed outcome.

Limitation of Liability

To the maximum extent permitted by law, in no event shall DC Unifieds, Tony Cimino-Johnson individually, or any Affiliate be liable to Customer or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost opportunities, lost scholarships, emotional distress, reputational harm, or loss of data, arising out of or related to these Terms or any DC Unifieds Service, regardless of the legal theory and regardless of whether DC Unifieds has been advised of the possibility of such damages.

In any event, the aggregate liability of DC Unifieds and its Affiliates to Customer arising out of or related to any Service or these Terms shall not exceed the total Registration Fee paid by Customer for the specific Event giving rise to the claim. This limitation applies regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise.

Customer acknowledges that DC Unifieds has set its prices and entered into this agreement in reliance on the limitations of liability set forth herein, that these limitations are an essential basis of the bargain, and that DC Unifieds would not provide Services without such limitations.

Indemnification

Customer agrees to indemnify, defend, and hold harmless DC Unifieds, Tony Cimino-Johnson individually, and all Affiliates from and against any and all claims, demands, lawsuits, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

  • Customer's or Participant's breach of these Terms;
  • Customer's or Participant's negligence, intentional misconduct, or violation of law;
  • Any Materials submitted by Customer, including infringement of any third-party copyright, trademark, right of publicity, or other right;
  • Any injury or damage caused by Participant to any person or property at the Event;
  • Any chargeback or payment dispute initiated by Customer in breach of Section 8.

DC Unifieds reserves the right, at Customer's expense, to assume exclusive defense and control of any matter subject to indemnification by Customer.

Force Majeure

DC Unifieds shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including but not limited to: acts of God; natural disasters (hurricane, flood, fire, earthquake, severe weather); epidemic, pandemic, or public health emergency; war, civil unrest, riot, or terrorism; government action, regulation, or order (including travel restrictions and capacity limits); labor strikes or disputes; utility, internet, or technology failures; venue closure; or any other event of force majeure.

In the event of a force majeure occurrence, DC Unifieds may, at its sole discretion, postpone, reschedule, relocate, modify the format of, or cancel the Event in accordance with Section 9. Force majeure events do not entitle Customer to a refund beyond what is offered under Section 9 in the case of full cancellation with no replacement.

Dispute Resolution & Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or to any DC Unifieds Service shall be resolved exclusively through the following process:

Informal Resolution Step 1

Before filing any formal proceeding, Customer agrees to first contact DC Unifieds in writing at support@dcunifieds.com and provide a description of the dispute. The parties agree to attempt in good faith to resolve the dispute through informal negotiation for at least thirty (30) days before proceeding to arbitration.

Binding Arbitration Step 2

If informal resolution fails, any remaining dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in Fairfax County, Virginia, by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver

Customer and DC Unifieds each agree to bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative proceeding.

Exception

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights, enforce confidentiality, or prevent imminent irreparable harm.

Governing Law & Venue

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States of America, without regard to its conflict of laws principles.

Subject to the binding arbitration provision in Section 21, any judicial proceeding arising out of these Terms (including actions to compel arbitration, enforce an arbitration award, or seek injunctive relief) shall be brought exclusively in the state or federal courts located in Fairfax County, Virginia, and the parties consent to the personal jurisdiction and venue of such courts.

Third-Party Services

DC Unifieds may use or recommend third-party services, including payment processors, registration platforms, audition platforms (such as Acceptd), insurance carriers, hotels, and venues. Such third parties operate under their own terms and privacy policies. DC Unifieds is not responsible for, and disclaims all liability arising from, the acts, omissions, or content of any third party.

Customer's relationship with any third-party provider is solely between Customer and that provider.

Modifications to Terms

DC Unifieds reserves the right to modify these Terms at any time. Any modification will be effective upon posting the updated Terms on the DC Unifieds website with an updated effective date. For material changes, DC Unifieds will use commercially reasonable efforts to notify registered Customers via the email address on file.

Continued participation in any Service after the effective date of modified Terms constitutes acceptance of the modified Terms. If Customer does not agree to modified Terms, Customer's sole remedy is to discontinue use of Services, subject to the no-refund policy in Section 6.

Severability & Entire Agreement

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

The failure of DC Unifieds to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms, together with the Privacy Policy and any event-specific terms incorporated by reference, constitute the entire agreement between Customer and DC Unifieds and supersede all prior or contemporaneous communications, whether oral or written, regarding the subject matter herein.

These Terms may not be transferred or assigned by Customer without the prior written consent of DC Unifieds. DC Unifieds may assign these Terms at any time without notice.

Acknowledgment of Acceptance

By registering for any DC Unifieds Event or Service, Customer affirms that they have read these Terms in full, understand each provision, and voluntarily agree to be bound by every section, including the no-refund policy, release and waiver of liability, mandatory binding arbitration, class action waiver, and limitation of liability.
